Terms of Service

These Terms of Service ("Terms") form a legal agreement between you and Suzhou Insightek Technology Co., Ltd. ("Insightek", "we", "us") governing your access to and use of the website at insightek.ai and its subdomains, and any associated public content, documentation, and pre-contractual engagements (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

Where the Services are provided under a separate signed agreement — for example a master services agreement, a statement of work, or a non-disclosure agreement — that signed agreement controls to the extent of any conflict with these Terms.

Insightek develops industrial AI products for manufacturing, including visual inspection AI agents and action compliance AI agents for structured-action workstations. Our website provides information about these products, case studies, technology background, and channels to engage with our team.

Pre-contractual engagements such as demos, technical briefings, sample reviews, and proof-of-concept work are offered at our discretion and are not a guarantee of future commercial availability, fit for your specific environment, or any particular result.

The Services are intended exclusively for business use by individuals who are at least 18 years old and who are authorized to act on behalf of a legitimate business entity. By using the Services, you represent and warrant that you meet these requirements and that your use complies with all applicable laws and your own organization's policies.

We do not knowingly provide the Services to consumers, minors, or individuals acting outside the scope of a business relationship.

Certain parts of the Services, when made available, may require you to register an account or to receive credentials from us. Where this applies, you agree to provide accurate and complete information, to keep your credentials confidential, and to notify us immediately of any unauthorized use.

You are responsible for activity that occurs under your account or credentials until you notify us of a suspected compromise. We may suspend or terminate access in the event of suspected unauthorized use, security concerns, or breach of these Terms.

You agree not to use the Services in any manner that is unlawful, harmful, or infringing. Specifically, you will not: (a) attempt to gain unauthorized access to any part of the Services or related systems; (b) probe, scan, or test the vulnerability of the Services without our prior written permission; (c) interfere with or disrupt the Services or their underlying infrastructure; (d) use the Services to distribute malware or other harmful code; (e) scrape or bulk-download content from the website beyond what a normal browser would retrieve; (f) misrepresent your identity or affiliation; or (g) use the Services in violation of export control, sanctions, or other applicable laws.

We reserve the right to investigate suspected violations, to take appropriate action (including suspension or termination of access), and to cooperate with law enforcement where required.

All content on the Services — including text, graphics, logos, images, video, documentation, product descriptions, case studies, and software — is owned by Insightek or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business evaluation and information purposes. This license does not grant you any right to reproduce, redistribute, modify, create derivative works from, publicly display, or commercially exploit the content without our prior written consent.

Any feedback, suggestions, or ideas you voluntarily provide to us about the Services may be used by us without obligation or compensation, and you hereby grant us a perpetual, worldwide, royalty-free license to do so.

All trademarks, service marks, and logos of Insightek are our property. You may not use them without our prior written permission.

If we share non-public information with you in connection with a demo, technical briefing, or proof of concept — including product roadmaps, unreleased features, pricing indications, architecture diagrams, performance data, or customer references — you agree to treat that information as confidential, to use it only for the purpose of evaluating a potential commercial relationship with Insightek, and to protect it with at least the same degree of care as you use for your own confidential information.

A separate non-disclosure agreement may apply to specific engagements. Where an NDA is in place, the NDA controls to the extent of any conflict with this section.

The information available on the website is provided free of charge for pre-contractual evaluation purposes. Paid engagements — including pilots, POCs, production deployments, integration services, and ongoing support — are quoted and invoiced under a separate master services agreement or statement of work.

These Terms do not establish any payment obligation. Any fees, payment terms, currency, taxes, and commercial conditions are exclusively governed by the applicable signed commercial document between Insightek and the customer entity.

Except as expressly agreed in a signed commercial agreement, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, Insightek disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from a course of dealing or usage of trade.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free; that defects will be corrected; or that the Services or their underlying infrastructure are free of viruses or other harmful components. Metrics, benchmarks, and case results published on the website are based on specific named deployments and are not a guarantee of the same outcome in your environment.

To the maximum extent permitted by applicable law, in no event will Insightek, its affiliates, or their respective directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, revenue, data, or goodwill — arising out of or in connection with these Terms or your use of the Services, whether based on contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

Insightek's total aggregate liability arising out of or in connection with these Terms and the Services shall not exceed one hundred US dollars (USD 100) or the local equivalent. Specific commercial engagements may include distinct liability caps in the governing commercial agreement, which will take precedence for that engagement.

You agree to indemnify, defend, and hold harmless Insightek and its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law or the rights of any third party; or (c) your breach of the confidentiality obligations set out above.

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, and without liability to you. You may stop using the Services at any time.

Upon termination, the provisions of these Terms that by their nature should survive — including intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and governing law — will continue in effect.

These Terms are governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall be submitted to the competent court at the domicile of Insightek in Jiangsu, China, except where specific commercial engagements specify a different forum or arbitration mechanism in the governing commercial agreement.

Note: specific commercial agreements may designate arbitration — for example ICC, HKIAC, or SIAC — as the dispute resolution mechanism. Where such an agreement is in place, its dispute resolution clause takes precedence over this section for that engagement.

We may revise these Terms from time to time. When we make material changes, we will update the effective date at the top of this document and post the revised version on the website. Your continued use of the Services after the updated Terms take effect constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Services.
